Terms & Conditions
Agreement
This Proposal & Agreement sets out the agreed services, scope, pricing, payment arrangements and contractual terms between Novara Works and the Client. By accepting it, the Client confirms they have read and agree to be bound by it.
Commencement
Work will commence once the Agreement has been accepted, the required deposit paid, and the information and materials reasonably required to begin have been received, unless otherwise agreed in writing.
Scope
Novara Works will provide only the services expressly identified in the agreed Scope and Deliverables. Out-of- scope requests may be quoted separately.
Fees & Payment
The Client agrees to pay the fees stated. The deposit secures the project and covers initial allocation of time and resources. Novara Works may pause work where an undisputed invoice remains unpaid after its due date. Unless otherwise agreed in writing, standard payment structure of 50% deposit and 50% on completion will be in place.
Late Payment
Where payment is overdue, Novara Works may pause work and/or withhold delivery or publication until payment is received. Statutory rights to interest or compensation remain unaffected.
Client Delays
Client delays in providing content, feedback, approvals, access or other dependencies may extend the project. Prolonged inactivity of (customise) days may result in rescheduling.
Approval & Sign-off
The Client is responsible for reviewing the website and providing final approval. Changes requested after approval may be treated as additional work.
Intellectual Property
Subject to payment in full, ownership of final bespoke materials created specifically for the Client will transfer to the Client to the extent agreed here: (customise). Novara Works retains ownership of pre-existing materials, methods, know-how, templates, reusable components and processes. Third-party materials remain subject to their licences.
Client Materials
The Client grants Novara Works permission to use Client-supplied materials solely to provide the services and warrants that it has the necessary rights to provide them.
Third-Party Services
Websites may depend on Framer, domain registrars, analytics providers, fonts, integrations and other third parties. Unless expressly included, third-party fees are payable by the Client and third-party outages or changes outside Novara Works' control are not its responsibility.
Website Launch
The website will be launched when the agreed scope is completed, final approval is given, and all amounts due before launch have been paid, unless otherwise agreed in writing.
Maintenance & Ongoing Support
Maintenance is separate unless expressly included. Out-of-scope work may be charged separately
Cancellation by Client
Cancellation must be requested in writing. Any refund, cancellation fee or amount payable will be assessed according to work performed, costs reasonably incurred, work allocated and applicable law. A deposit is not automatically non-refundable in every circumstance.
Cancellation by Novara Works
Novara Works may terminate for material breach, persistent non-payment, prolonged Client inactivity or other serious reason, subject to applicable law and reasonable notice where appropriate.
Liability
Nothing excludes or limits liability where unlawful. Subject to applicable law, Novara Works will not be liable for indirect or consequential losses, loss of profits, revenue, business, goodwill or anticipated savings.
Warranties & Performance
Novara Works will provide services with reasonable care and skill. Performance may be affected by third-party platforms, browsers, devices, networks, integrations and other factors outside its reasonable control.
Confidentiality
Each party will keep confidential information confidential and use it only for performing or receiving the services, except where disclosure is required by law or reasonably necessary to advisers or service providers.
Portfolio & Marketing
Unless the Client opts out in writing, Novara Works may display the completed website and non-confidential project details in its portfolio and marketing.
Data Protection
Each party will comply with applicable data protection law. Where Novara Works processes personal data for the client, additional data-processing arrangements will be put in place where required.
Disputes
The parties will first attempt good-faith discussion and may consider mediation or another appropriate process before court proceedings, where appropriate.
Force Majeure
Neither party will be liable for delay or failure caused by circumstances beyond reasonable control, including serious technical failures, outages, natural events or governmental action.
Governing Law & Jurisdiction
This Agreement is governed by the law of England and Wales and the courts of England and Wales have jurisdiction, subject to mandatory legal rights. (customise if required).
Entire Agreement
This Proposal & Agreement, together with expressly incorporated schedules or written variations, constitutes the entire agreement concerning the project and supersedes previous discussions or proposals on the same subject.
Changes
Any amendment should be agreed in writing by both parties. Material scope or price changes are not binding unless accepted in writing.
